Employee Benefits Attorney (10+ years) – Portland, Seattle, or Anchorage

Schwabe is a premier Northwest regional law firm serving the needs of businesses in seven key industry sectors: Technology; Healthcare and Life Sciences; Consumer Products, Manufacturing and Retail; Natural Resources; Real Estate and Construction; Ports and Maritime; and Indian Country and Alaska Native Corporations. We have offices in Portland, Seattle, Anchorage, Vancouver, Bend, Salem, and Mountain View, California. Schwabe currently has an opening for an experienced full-time employee benefits attorney. The position will be based out of the firm's Portland, Oregon, Seattle, Washington, or Anchorage, Alaska office, though qualified candidates based in any of our office locations will be considered. The ideal candidate will have 10+ years of experience that includes:

 

  • Designing, drafting, amending administration and governance of qualified retirement plans under Code § 401(a) and other types of tax-favored retirement plans subject to 403(b) and 457(b), etc.
  • Working with clients to correct documentary, administrative and fiduciary errors in retirement plans, health and welfare plans and executive compensation arrangements
  • Assisting with benefits and compensation aspects of corporate transactions and restructurings, reductions-in-force and change-in-control situations
  • Helping clients design, document, and administer ERISA health and welfare plan documents and summary plan descriptions
  • Advising employers on contract and other trust law issues in connection with multiemployer plans
  • Analyzing and advising on multiemployer pension plan withdrawal liability
  • Experience with employment-related documents and 409A issues
  • Advising clients on due diligence and reviewing Merger & Acquisition documents for ERISA related items
  • An understanding of non-qualified deferred compensation arrangements and Code §§ 409A, 457, 280G, etc.
  • Excellent academic credentials and professional references, as well as solid legal research, analysis, writing, and communication skills
  • Demonstrated ownership of projects and willingness to work in a team-oriented setting, but with significant independence
  • Strong client service ethics
  • Oregon, Washington, California, or Alaska State Bar admission (depending on job location)

The pay range for this position is $200,000 - $250,000, depending on job skills and experience. Higher base compensation may be available depending on the candidate's portable book of business. The position is also eligible for productivity and discretionary merit bonus consideration at the end of each calendar year. Junior Corporate Associate (1+ years) – Portland, Oregon

Schwabe is a premier Northwest regional law firm serving the needs of businesses in seven key industry sectors: Technology; Healthcare and Life Sciences; Consumer Products, Manufacturing and Retail; Natural Resources; Real Estate and Construction; Ports and Maritime; and Indian Country and Alaska Native Corporations. We have offices in four states, in the cities of Portland, Bend, Salem, Seattle, Vancouver, Anchorage, and Mountain View. Schwabe currently has an opening in its Portland office for a full-time associate to support the Corporate group. The ideal candidate will have: 

  • Juris Doctorate (JD) Degree from an ABA-accredited law school
  • Interest and/or experience in general corporate law, including: entity formation (private companies, limited liability companies, limited partnerships and joint ventures); financing; due diligence; deal closings
  • Demonstrated history of project management and willingness to work collaboratively in a team-oriented setting
  • Excellent academic credentials and professional references, as well as solid legal research, writing, and interpersonal and communication skills
  • Strong client service ethics
  • Membership with the Oregon State Bar, or eligibility for reciprocity is required

The pay range for this position is $155,000-$165,000, depending on job skills and legal practice experience relevant to the position. Senior Corporate Associate (5+ years) – Seattle, Washington

Schwabe currently has an opening in its Seattle office for a full-time corporate associate to work in a thriving, diverse practice. The ideal candidate will have: 

  • Minimum of five years of corporate legal work experience
  • Experience supporting entity formation (private companies, limited liability companies, limited partnerships and joint ventures), M&A, securities, debt and equity financing, due diligence, commercial contracts, private placements, commercial contracts, credit agreements, and other similar corporate tasks
  • Effectively able to work on large M&A transactions as well as smaller transactions
  • Ability to manage complex transactions, including client-ready documents, client exposure, and interacting across offices and practice groups
  • Experience serving clients in at least one of our seven key industries, particularly within a law firm setting (preferred)
  • Strong entrepreneurial, growth, and client service mindset
  • Washington State Bar admission or eligibility for reciprocity required
